Private Placement

A private placement, also called „placing“, offers a way of raising capital or, respectively, selling shares to the exclusion of the public. Private placements are also being conducted outside of a stock exchange by approaching only a few selected private or institutional investors.

Private placements are often not subject to disclosure requirements such as a securities prospectus which would be mandatory, for example, in Germany in case of a public offering. The public offering (or public distribution) is the counterpart to a private placement and for its conduction in Germany a approval of the BaFin is required.

Depending on the respective rules for a private placement, the conduction process may vary. In Germany, a private placement presupposes that the offer is only directed towards qualified investors or that investors buy shares with a minimum amount of EUR 50,000.
