Capital Market Prospectus

A requirement in connection with going public in Germany is the preparation of a capital market prospectus.

A capital market prospectus is mandatory while conducting a public offering of securities (pursuant to the rules and regulations of the Securities Prospectus Act).

The preparation of a capital market prospectus is a comprehensive task for companies. Due to the protection of shareholders, the capital market prospectus has to contain all necessary information to enable shareholders to adequately evaluate the company and the risks in regard to the company and its securities before buying shares.

The capital market prospectus will, for example, include an illustration of factual circumstances as well as the legal, tax and financial situation. Also, the capital market prospectus needs to be easily analyzed and comprehensible. Certain not mentioned risks or returns may cause a subsequent “prospect liability”, a liability concerning information contained in the prospectus.
